ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING. Without limiting the generality of the foregoing, You expressly acknowledge and agree that Street Smart Health may use any Submitted Information and Telemetry, in whole or in part, in original, modified, derivative, anonymized, aggregated, embedded, or vectorized form, to train, fine-tune, retrain, pretrain, evaluate, validate, test, benchmark, distill, prompt, augment, ground, retrieve for, instruct, condition, or otherwise inform any machine learning model, large language model, foundation model, neural network, generative artificial intelligence system, retrieval-augmented generation system, vector database, embedding, knowledge graph, recommendation engine, classifier, predictor, agent, copilot, or any other artificial intelligence or algorithmic system, whether currently existing or developed in the future, whether developed by Street Smart Health or by third parties on its behalf, and whether for internal use, commercial deployment, research, or any other purpose. Models, weights, embeddings, fine-tunes, derivatives, and outputs resulting from such training or processing shall be the exclusive property of Street Smart Health, free of any claim, royalty, or obligation to You. DATA RETENTION. Street Smart Health may retain Submitted Information, Telemetry, derived data, model artifacts, training datasets, embeddings, and any associated metadata for an indefinite period and is under no obligation to delete, anonymize, return, or provide access to such data, except as required by applicable law. Upon any obligation to delete personal data under applicable law, Street Smart Health may, at its discretion, retain anonymized, aggregated, or de-identified versions for any purpose. You acknowledge that data submitted to or processed by an artificial intelligence system may be irreversibly incorporated into model weights and cannot be selectively removed once trained. CONFIDENTIALITY OF SUBMITTED INFORMATION. Submitted Information is not deemed confidential unless You have executed a separate written non-disclosure agreement with Street Smart Health prior to submission. Marking a submission as "confidential," "proprietary," or similar shall not, by itself, create any confidentiality obligation on the part of Street Smart Health. ================================================================ 5. You may not use any such marks or trade dress without the prior express written permission of Street Smart Health. Each Protected Party is an intended third- party beneficiary of this License with the right to enforce its provisions directly against You. NO PERSONAL LIABILITY. To the maximum extent permitted by applicable law, no Protected Party shall have any personal liability to You arising out of or relating to this License, the Site, the Content, the Submitted Information, or any act or omission of Street Smart Health, its agents, or its representatives. You agree that Your sole and exclusive recourse, if any, shall be against Street Smart Health as an entity, and not against any individual Protected Party. You expressly waive, to the maximum extent permitted by law, any right to assert any claim, action, or proceeding against any Protected Party in their personal, individual, or representative capacity. NO CLAIMS AGAINST PROTECTED PARTIES. You covenant and agree that You shall not, and shall not permit any third party acting on Your behalf or for Your benefit to, commence, prosecute, threaten, or assist in any claim, demand, action, suit, proceeding, arbitration, regulatory complaint, or investigation against any Protected Party in their personal capacity arising out of or relating to this License, the Site, the Content, the Submitted Information, or any related matter, including but not limited to claims for breach of fiduciary duty, negligence, gross negligence, fraud, misrepresentation, tortious interference, defamation, conversion, unjust enrichment, or any other claim sounding in contract, tort, equity, statute, or otherwise. In any action, claim, or proceeding brought by You against any Protected Party that is subject to the protections of this Section, You shall, upon written demand, advance to such Protected Party all reasonable attorneys' fees, expert witness fees, and other defense costs incurred in connection with such matter, as and when incurred, prior to any final adjudication. If such Protected Party is ultimately found by a court of competent jurisdiction to have been entitled to such advancement, the advancement shall not be subject to repayment. EXCLUSIVE LIABILITY OF ENTITY. You acknowledge and agree that any liability, obligation, or duty of Street Smart Health under this License is solely the obligation of the entity Street Smart Health and shall not be construed as creating any personal obligation, guarantee, or liability of any Protected Party. NO PIERCING THE CORPORATE VEIL. You expressly waive, to the maximum extent permitted by law, any right to assert any theory of liability that would result in personal liability of any Protected Party, including but not limited to alter ego, piercing the corporate veil, single enterprise, joint venture, agency, partnership, instrumentality, successor liability, or any similar theory. GOOD FAITH ACTIONS. Each Protected Party shall be presumed to have acted in good faith and in the best interests of Street Smart Health in connection with all matters relating to the Site, the Content, and the Submitted Information, and You shall bear the burden of proving otherwise by clear and convincing evidence in any proceeding seeking to impose liability on a Protected Party. SURVIVAL AND IRREVOCABILITY. The protections in this Section are intended to be perpetual and irrevocable, shall survive any termination, modification, or expiration of this License, and shall inure to the benefit of each Protected Party and their respective heirs, executors, administrators, assigns, and personal representatives. ================================================================ 14. INJUNCTIVE RELIEF ================================================================ You acknowledge that any breach or threatened breach of this License will cause irreparable harm to Street Smart Health for which monetary damages would be inadequate. Accordingly, Street Smart Health shall be entitled to seek immediate injunctive, declaratory, and other equitable relief, without the requirement of posting bond or other security and without proof of actual damages, in addition to any other remedies available at law or in equity. ================================================================ 15. ENFORCEMENT, DAMAGES, AND ATTORNEYS' FEES ================================================================ Street Smart Health reserves the right to pursue all available legal remedies for any violation of this License, including without limitation: actual damages; statutory damages under the Copyright Act of 1976 (17 U.S.C. Section 504), which may include enhanced damages of up to $150,000 per work for willful infringement; remedies under the Digital Millennium Copyright Act (17 U.S.C. Sections 1201-1205); remedies under the Computer Fraud and Abuse Act (18 U.S.C. Section 1030); remedies under the Lanham Act for trademark infringement, trade dress infringement, false designation of origin, and unfair competition (15 U.S.C. Section 1051 et seq.); remedies under state law for misappropriation of trade secrets, conversion, and unjust enrichment; and any applicable international laws. The prevailing party in any action arising out of or relating to this License shall be entitled to recover its reasonable attorneys' fees, expert witness fees, and costs. ================================================================ 16. FORCE MAJEURE ================================================================ Street Smart Health shall not be liable for any failure to perform or delay in performance of any obligation under this License, or for any unavailability or interruption of the Site, due to causes beyond its reasonable control, including but not limited to acts of God; natural disasters (including earthquakes, floods, fires, hurricanes, and pandemics); epidemics; war; terrorism; insurrection; riots; civil disturbances; governmental actions or restrictions; embargoes; strikes, lockouts, or other labor disputes; supply chain disruptions; power, internet, telecommunications, or infrastructure failures or outages; cybersecurity incidents, including denial-of-service attacks and ransomware; failures of third-party service providers (including content delivery networks, hosting providers, registrars, and form providers); changes in law or regulation; or any other event beyond the reasonable control of Street Smart Health. The occurrence of a force majeure event shall not relieve You of Your obligations under this License. ================================================================ 17. EXPORT CONTROL AND SANCTIONS ================================================================ You represent and warrant that You are not located in, and are not a citizen or resident of, any country subject to United States embargo, sanction, or designation as a terrorist-supporting country, and that You are not on any United States government list of restricted or prohibited parties. GOVERNING LAW AND JURISDICTION ================================================================ This License shall be governed by and construed in accordance with the laws of the State of California and the United States of America, without regard to its conflict of laws principles.
